Terms: buying and using Meringo Minutes
The short version: you pay once, a licence is for one Mac, and you can have your money back within 30 days for any reason. The full terms are below. If anything in them is unclear, email me.
Meringo Minutes isn’t for sale yet. These are the terms it will be sold under. Last updated .
Who these terms are with
These terms are between you and Meringo Labs LLC, a New York limited liability company (“Meringo Labs”), which makes Meringo Minutes (the “App”). By buying a licence, or by installing or using the App, you agree to them.
Who sells it
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Paddle’s buyer terms also apply to your purchase.
Price
You pay once. There’s no subscription. Checkout shows the price, and any sales tax or VAT, before you pay.
What you get
- The free version. Recording, transcribing, playback and your library are free, with no time limit. The notes (the summary, mindmap and commitments) are written for your first three meetings, and you can ask questions of any meeting that has them. A recording under ten minutes gets its notes without counting towards the three.
- A licence writes the notes for every meeting, on one Mac. It’s emailed to the address you give at checkout. To move it to another Mac, choose Remove Licence from This Mac in Settings ▸ Licence, then enter it on the other one. A second Mac needs a second licence.
- Updates. A licence covers every release with the same first version number, so a licence bought for 1.x works with every 1.x release. A version with a new first number may be a separate purchase. Your licence keeps working with the release you already have.
- A lost licence can be sent again. Email support@meringo.app from the address you bought with.
Refunds
Ask within 30 days of buying and you’ll get a full refund, with no questions asked. The refunds page says how. A refunded licence ends, so remove it in Settings ▸ Licence.
Your recordings
The App sends none of your recordings, transcripts or notes to Meringo Labs, and it has no account. What it stores, and what it connects to, is on the privacy page.
You are responsible for getting any consent the law requires from the people you record.
The fact-checking model
The App checks the sentences it writes with a fact-checking model made by Bespoke Labs, Inc., credited in the App’s About panel. The App may download that model, through Ollama, for you to run locally. Bespoke Labs owns it, and Meringo Labs licenses it from them.
You may use the model, including for your business, only through Meringo Minutes and only for what the App uses it for: checking whether sentences the App generates from a meeting transcript are supported by that transcript. You may not:
- sell, license or distribute the model on its own or separately from the App;
- host it to provide it as a service to anyone else, or expose it through an API for uses other than the App;
- use it for any other purpose; or
- remove or obscure the credit to Bespoke Labs in the App.
Any other use of the model is governed by the licence Bespoke Labs publishes it under, not by these terms.
Other software in the App
The App includes open-source software and uses models from other publishers, each under its own licence. They’re listed in the App’s About panel (Meringo Minutes ▸ About Meringo Minutes), and their full licence texts ship inside the App. Those licences apply to those parts.
What you may not do
You may not resell, share or publish your licence, or use it on more Macs than it covers. You may not remove or work around the App’s licence check, which the App makes itself, with no call to a server.
No warranty
The App writes its notes with a language model and checks them with another. Both can be wrong. A sentence marked as checked was found to be supported by the lines it was checked against. That doesn’t make it certainly true, and the check doesn’t catch everything. Check anything that matters against the recording, which the App keeps for exactly that.
To the extent the law allows, the App is provided “as is”, without warranties of any kind, express or implied, including any warranty that it is fit for a particular purpose or free of errors.
Liability
To the extent the law allows, Meringo Labs is not liable for any indirect, incidental, special or consequential loss, or for lost profits, revenue or data. Its total liability to you is limited to the amount you paid for your licence.
When these terms end
These terms last while you use the App. If you break them, your licence ends. The sections on the fact-checking model, no warranty and liability still apply after that.
Law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. If you buy as a consumer, nothing in them takes away rights that the law where you live gives you and that can’t be waived.
Changes
Meringo Labs may update these terms, and the date at the top changes when it does. A change doesn’t take away a licence you’ve already bought.
